Description

The problems at the stage of liquidation of the General Partnership are examined in the study of Christos I. Mastrokostas, lecturer at the Law School of Democritus University of Thrace.
What is the status of the liquidators? What are the limits of the partners' freedom to determine the method of liquidation? Does bankruptcy affect the ability of the bankrupt partner to perform liquidation duties? Many are the questions that arise at the stage of bankruptcy of the General Partnership, the most common corporate form in Greek reality and unfortunately in recent years, many bankruptcies as well.
Issues related to the status of liquidators (e.g. appointment, remuneration, revocation, etc.), the liquidation process (e.g. completion, contractual arrangements, distribution of corporate assets, etc.), the rights and obligations of the partners (e.g. exercise of the right to exclude a partner, non-competition obligation, liability, etc.) are some of the issues addressed.
Furthermore, special attention is given to the problems arising from the bankruptcy of a partner when the company is dissolved for this reason or is already in the stage of liquidation. Particular emphasis is placed on the issue of the involvement of the bankruptcy trustee in the liquidation of the company and the ability of the partners of the General Partnership to prevent this development. The book is enriched with the presentation of bibliography and rich case law as well as alphabetical indexes and a table of legal rules.
